Terms and Conditions

Preamble

These General Terms and Conditions of Sale (T&Cs) apply to all services concluded between Propulse Solutions and its professional clients. Any order implies unreserved acceptance of these T&Cs.

Description of Services

Propulse Solutions offers consulting and development services in artificial intelligence, including:

• AI audit and diagnosis
• Custom AI solution development (chatbots, AI agents, automations)
• Solution integration and deployment
• Team training and support
• Maintenance and technical support

Quote and Order

Every project is subject to a detailed quote presenting the nature of services, delivery times and prices. The quote is valid for 30 days from its issue date. The order is considered firm and final upon receipt of the signed quote and full payment.

Pricing and Payment Terms

Prices are expressed in Euros (EUR) or United Arab Emirates Dirhams (AED) depending on the client's location. The applicable currency is specified in the quote.

Payment terms:

• 100% of the total amount at contract signature, before project start
• For large projects, installment payments possible upon prior agreement

Delivery Times

Delivery times are indicated in the quote as an estimate. Propulse Solutions commits to respecting agreed deadlines as far as possible. A delivery delay cannot give rise to any penalty or compensation, nor justify order cancellation.

Client Obligations

The client commits to:

• Provide all information and documents necessary for proper service execution
• Give access to systems and data required for the project
• Validate intermediate deliverables within agreed deadlines
• Pay invoices within the specified deadlines

Intellectual Property

Unless otherwise agreed, intellectual property rights on developments are transferred to the client after full payment of the service. Propulse Solutions retains the right to use generic methodologies and know-how developed during the service.

Confidentiality

The parties commit to keeping confidential all information exchanged within the scope of the service. This confidentiality obligation continues for 5 years after the end of the contract.

Liability

Propulse Solutions' liability is limited to the amount of the relevant service. Propulse Solutions cannot be held liable for indirect damages, loss of revenue, data loss or image damage.

Termination

In case of serious breach by one party of its obligations, the other party may terminate the contract by registered letter with acknowledgment of receipt after formal notice remaining unsuccessful for 15 days.

Applicable Law and Jurisdiction

These T&Cs are governed by the laws of the United Arab Emirates. Any dispute relating to their interpretation or execution will be submitted to the competent courts of the United Arab Emirates.
